MEPTrax Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MEPTrax websites, software, applications, products, features, and services (collectively, the “Services”).
The Services are currently provided by Quality Electric, Inc., a Florida corporation, operating under the MEPTrax name. Quality Electric, Inc. is referred to throughout these Terms as “MEPTrax,” “we,” “us,” or “our.”
By creating an account, accessing, or using the Services, you agree to these Terms.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” include that organization.
If you do not agree to these Terms, do not use the Services.
1. The MEPTrax Services
MEPTrax provides software designed primarily to assist contractors with activities that may include takeoff, estimating, quoting, job planning, purchasing, scheduling, field production, change management, operational analysis, business performance, and related activities.
MEPTrax may add, modify, remove, or discontinue features or Services over time.
Some Services or features may be identified as beta, preview, early access, experimental, coming soon, or in development. Such features may change substantially, may contain errors, or may never become generally available.
Descriptions of planned or future functionality are provided for informational purposes and are not commitments that any particular feature will be released.
2. Your Account
You may need an account to use some or all of the Services.
You agree to provide accurate account information and to keep your login credentials secure.
You are responsible for activity occurring through your account and for users whom you authorize to access your organization or account.
You must promptly notify MEPTrax if you become aware of unauthorized access to your account.
You may not share credentials or otherwise use the Services in a manner intended to circumvent account, user, subscription, or licensing restrictions.
3. Business Accounts and Authorized Users
If an account is created or administered for a business, that business controls the account and may authorize employees, contractors, agents, or others to access it.
The business is responsible for determining who should have access and what permissions those users should receive.
Authorized administrators may be able to access, modify, export, restrict, or delete information associated with users operating under the business account.
Users of a business account acknowledge that information they create or submit in connection with that account may be accessible to the business and its authorized administrators.
YOUR INFORMATION AND DATA
4. Customer Content
You retain ownership of information and materials you submit to MEPTrax, including project information, plans, drawings, specifications, photographs, estimates, assemblies, pricing information, customer information, job records, field information, and other content (“Customer Content”).
Uploading or processing Customer Content through MEPTrax does not transfer ownership of that Customer Content to MEPTrax.
You grant MEPTrax a non-exclusive license to host, copy, process, transmit, display, analyze, back up, and otherwise use Customer Content as reasonably necessary to:
- provide and operate the Services;
- perform functions you request;
- maintain, secure, troubleshoot, and support the Services;
- prevent fraud, abuse, or misuse;
- comply with applicable law;
- develop and improve MEPTrax as described in these Terms; and
- fulfill purposes described in our Privacy Policy.
This license does not give MEPTrax ownership of your Customer Content.
5. Construction Plans and Third-Party Materials
You may upload construction drawings, specifications, photographs, documents, or other materials created or owned by third parties.
MEPTrax does not claim ownership of those materials.
By uploading or processing third-party materials through the Services, you represent that you have the rights, permission, authorization, or other lawful basis necessary to possess, upload, process, and use them through MEPTrax.
You are responsible for determining whether contractual, confidentiality, copyright, security, privacy, or other restrictions apply to materials you upload.
6. Confidential Business Information
MEPTrax may process commercially sensitive information including estimates, costs, labor information, material pricing, bids, customers, suppliers, assemblies, project performance, profitability, production information, and business processes.
MEPTrax recognizes that such information may be valuable and confidential to your business.
MEPTrax will not sell your identifiable confidential business information to third parties for their independent marketing or commercial use.
Nothing in this section prevents MEPTrax from using information in aggregated, anonymized, de-identified, statistical, or derived form as described below.
HOW MEPTRAX LEARNS
7. Improving MEPTrax and Artificial Intelligence
One purpose of MEPTrax is to become more useful as the system learns from actual use.
MEPTrax may use information generated through use of the Services to develop, train, test, evaluate, maintain, and improve:
- MEPTrax software;
- artificial intelligence and machine-learning systems;
- automated recognition and classification systems;
- algorithms and models;
- assemblies and assembly recommendations;
- symbol recognition;
- estimating and takeoff functionality;
- operational analysis;
- recommendations;
- workflows; and
- other existing or future MEPTrax functionality.
When information derived from Customer Content is used for these broader improvement purposes, MEPTrax will take reasonable measures to aggregate, anonymize, de-identify, transform, or otherwise process the information so that it is not reasonably associated with an identifiable customer, customer of a customer, particular project, or identifiable individual.
MEPTrax may use aggregated, anonymized, de-identified, statistical, and derived information to develop and improve MEPTrax and to provide improved functionality to other customers.
For example, MEPTrax may learn from how users classify symbols, select assemblies, correct suggestions, organize work, or respond to system recommendations without identifying the contractor or project from which that learning originated.
MEPTrax may retain and use aggregated, anonymized, de-identified, statistical, and derived information after the underlying Customer Content or account is deleted, provided that the retained information cannot reasonably be used by MEPTrax to identify the customer or an identifiable person.
8. Protection of Identifiable Customer Information
MEPTrax will not make one customer’s identifiable confidential business information available to another customer merely because that information contributed to improving MEPTrax.
MEPTrax will not intentionally expose one contractor’s identifiable bids, customers, pricing, plans, project information, profitability, or other confidential business information to unrelated customers through an artificial-intelligence or automated feature.
The purpose of learning across the Services is to improve MEPTrax’s capabilities, not to disclose one customer’s business information to another.
Our collection and processing of personal information is further described in our Privacy Policy.
SOFTWARE OUTPUT AND CONTRACTOR RESPONSIBILITY
9. Artificial Intelligence and Automated Features
MEPTrax may use artificial intelligence, machine learning, computer vision, statistical analysis, automated recognition, or other automated technologies.
Automated systems can make mistakes.
AI-generated, automated, inferred, suggested, or calculated information should therefore be treated as assistance, not as a substitute for professional judgment.
You remain responsible for reviewing and verifying information before relying upon it for bidding, purchasing, construction, scheduling, billing, safety, code compliance, profitability analysis, or other business decisions.
10. Takeoffs, Counts, Assemblies, Estimates and Calculations
MEPTrax is a software tool. It is not a substitute for the knowledge, experience, judgment, or professional responsibility of the contractor using it.
Takeoffs, quantities, counts, assemblies, labor assumptions, prices, estimates, calculations, recommendations, detected symbols, classifications, and other outputs may contain errors or may not reflect actual project or field conditions.
A symbol appearing on a drawing does not necessarily establish the materials, labor, installation method, code requirements, site conditions, assembly, or scope necessary to perform the work.
You are responsible for reviewing the drawings, specifications, scope, quantities, assemblies, prices, labor assumptions, field conditions, code requirements, and other information relevant to your work.
You are responsible for the bid you submit, the materials you purchase, the decisions you make, and the work you perform.
11. No Professional Engineering or Code Advice
MEPTrax does not provide engineering, architectural, legal, accounting, safety, electrical-code, or other licensed professional services.
Information produced or displayed by the Services should not be treated as professional approval of an installation, design, estimate, construction method, scope, or code interpretation.
Where professional approval, inspection, engineering, permitting, or code compliance is required, you are responsible for obtaining it from the appropriate qualified professional or authority.
12. Operational Information
MEPTrax may compare expected work with actual production, labor, materials, costs, changes, estimates, bids, or other operational information.
The usefulness of these comparisons depends upon the accuracy and completeness of the underlying information.
MEPTrax does not guarantee that operational information will identify every error, loss, inefficiency, unauthorized activity, change, safety issue, cost overrun, or other condition affecting a project or business.
13. Employee and Worker Information
If you use MEPTrax to collect or process information relating to employees, subcontractors, or other workers, you are responsible for ensuring that your use complies with applicable employment, labor, privacy, monitoring, location-tracking, recordkeeping, notice, and consent requirements.
This may include requirements concerning time tracking, photographs, location information, geofencing, activity records, or other workplace information.
MEPTrax provides the software.
You are responsible for determining whether and how particular features may lawfully be used in your workplace and jurisdiction.
ACCEPTABLE USE
14. Acceptable Use
You may use MEPTrax only for lawful purposes and in accordance with these Terms.
You may not use, attempt to use, or permit another person to use the Services:
- in violation of applicable law or regulation;
- to infringe or violate intellectual-property, privacy, confidentiality, contractual, or other rights of another person or organization;
- to upload, transmit, distribute, or introduce malware, malicious code, or other harmful material;
- to gain or attempt to gain unauthorized access to MEPTrax, another user’s account, computer systems, networks, or data;
- to probe, scan, test, circumvent, disable, defeat, or interfere with security, authentication, access controls, rate limits, usage limits, or other protective measures, except where expressly authorized by MEPTrax;
- to circumvent account, subscription, user, licensing, usage, or feature restrictions;
- to access another customer’s information without authorization;
- to interfere with, disrupt, overload, damage, or materially degrade the Services or their availability to others;
- to use automated means to scrape, extract, copy, or systematically collect information from the Services except through functionality or interfaces expressly provided or authorized by MEPTrax;
- to reverse engineer, decompile, disassemble, or attempt to derive source code, underlying models, algorithms, or other non-public components of the Services except to the extent such restrictions are prohibited by applicable law;
- to copy, reproduce, resell, sublicense, rent, lease, distribute, or commercially exploit the Services except as expressly authorized by MEPTrax;
- to impersonate another person or organization or misrepresent your authority to act for another person or organization;
- to submit information that you know you do not have the right or authorization to possess, upload, process, or use;
- to use the Services to facilitate fraud, deception, theft, or other unlawful activity; or
- to encourage, assist, or enable another person to do any of the foregoing.
MEPTrax may investigate suspected violations of this Section and may restrict or suspend access where reasonably necessary to protect MEPTrax, its customers, its systems, third parties, or the integrity and security of the Services.
Where reasonable under the circumstances, MEPTrax will provide notice and an opportunity to correct a violation. Immediate action may be taken where reasonably necessary to address security threats, fraud, unlawful activity, unauthorized access, material harm, or similar risks.
FREE AND PAID SERVICES
15. Free Services and Trials
MEPTrax may provide free Services, free accounts, trials, promotional access, usage allowances, or other Services without charge.
Free access does not create a right to continued free access.
MEPTrax may change the functionality, limits, eligibility, availability, or terms of free Services.
Where commercially reasonable, MEPTrax will provide notice of material changes affecting existing users.
16. Paid Services
Some Services may require payment.
Prices, billing intervals, included functionality, usage limits, and applicable charges will be disclosed when you purchase a paid Service.
Unless otherwise stated when you purchase a subscription, recurring subscriptions automatically renew for successive billing periods until cancelled.
You authorize MEPTrax and its payment processors to charge applicable fees and taxes using your selected payment method.
You are responsible for maintaining valid payment information.
17. Cancellation
You may cancel a recurring subscription using the cancellation process provided by MEPTrax.
Unless otherwise required by applicable law or expressly stated when purchased, cancellation prevents future renewal charges but does not automatically entitle you to a refund of charges already incurred.
Where applicable, access may continue through the end of the paid billing period.
18. Taxes
Fees displayed by MEPTrax may not include applicable sales, use, value-added, or similar taxes.
You are responsible for taxes associated with your purchase except taxes imposed upon MEPTrax’s income.
OWNERSHIP
19. MEPTrax Intellectual Property
MEPTrax and its licensors retain all rights in the Services, including software, source code, designs, interfaces, systems, documentation, trademarks, logos, algorithms, models, and other MEPTrax intellectual property.
These Terms do not transfer ownership of MEPTrax software or intellectual property to you.
Subject to these Terms, MEPTrax grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes while you are authorized to use them.
20. Feedback
If you voluntarily provide suggestions, corrections, ideas, feature requests, or other feedback concerning MEPTrax, you permit MEPTrax to use that feedback to develop, operate, and improve the Services without an obligation to compensate you.
This does not give MEPTrax ownership of your Customer Content or identifiable confidential business information.
21. Third-Party Services
MEPTrax may integrate with or provide access to third-party products and services, including payment processors, storage providers, suppliers, accounting platforms, communications services, and other software.
Third-party services may have their own terms and privacy policies.
MEPTrax is not responsible for third-party products or services that it does not control.
SERVICE OPERATION
22. Availability and Changes
MEPTrax works to provide reliable Services, but internet-based software cannot be guaranteed to operate without interruption or error.
MEPTrax does not guarantee uninterrupted availability.
We may perform maintenance, update software, modify infrastructure, correct security issues, or make other changes affecting availability or functionality.
Where commercially reasonable, we will attempt to minimize material disruption.
23. Data Export and Account Termination
Where supported by the applicable Service, you may export certain Customer Content.
You are responsible for maintaining copies of business records you are legally, contractually, or operationally required to retain.
Upon termination, your access to some or all of the Services may end.
MEPTrax may delete Customer Content following account termination after a reasonable retention period, subject to backup practices, applicable law, security requirements, disputes, and contractual obligations.
You should export information you require before closing your account.
24. Suspension or Termination by MEPTrax
MEPTrax may suspend or terminate access to the Services if:
- you materially violate these Terms;
- required fees remain unpaid;
- your use creates a material security or legal risk;
- your use threatens MEPTrax, the Services, or other users;
- MEPTrax is legally required to do so; or
- continued provision of the Service becomes unlawful.
Where reasonable under the circumstances, MEPTrax will attempt to provide notice and an opportunity to correct the problem before terminating an account.
Immediate suspension may be necessary where security, fraud, legal compliance, unauthorized access, or harm to the Services or others is involved.
WARRANTIES AND LIABILITY
25. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEPTRAX DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
MEPTRAX DOES NOT WARRANT THAT THE SERVICES OR THEIR OUTPUTS WILL BE COMPLETE, ACCURATE, ERROR-FREE, UNINTERRUPTED, SECURE, OR SUITABLE FOR ANY PARTICULAR PROJECT OR PURPOSE.
Without limiting the foregoing, MEPTrax does not warrant the accuracy of takeoffs, counts, assemblies, estimates, labor calculations, prices, project information, artificial-intelligence output, automated recognition, profitability calculations, or other outputs.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEPTRAX AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEPTRAX’S TOTAL AGGREGATE MONETARY LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO MEPTRAX FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
FOR SERVICES PROVIDED TO YOU WITHOUT CHARGE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEPTRAX WILL HAVE NO MONETARY LIABILITY ARISING FROM YOUR USE OF THOSE FREE SERVICES.
The exclusions and limitations in these Terms apply to the maximum extent permitted by applicable law. To the extent applicable law does not permit a particular exclusion or limitation, that exclusion or limitation will apply only to the maximum extent permitted by law.
27. Basis of the Agreement
You acknowledge that the limitations of liability, warranty disclaimers, and allocation of responsibility contained in these Terms are material parts of the agreement between you and MEPTrax.
The availability and pricing of the Services, including the availability of Services without charge, reflect this allocation of risk.
28. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MEPTrax and its owners, officers, directors, employees, affiliates, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses arising out of or relating to:
- your unlawful use of the Services;
- Customer Content you submit or process;
- your violation of another person’s rights;
- your violation of these Terms;
- your bids, estimates, construction, contracting, employment, or business activities; or
- your use of MEPTrax output in connection with those activities,
except to the extent a claim results from conduct by MEPTrax for which liability cannot lawfully be excluded or allocated to you.
DISPUTES AND GENERAL TERMS
29. Informal Resolution of Disputes
Before commencing a legal action arising out of these Terms or the Services, you and MEPTrax agree to make a reasonable good-faith effort to resolve the dispute informally.
The party raising the dispute should provide written notice describing the dispute and the requested resolution.
The parties will have thirty (30) days after receipt of that notice to attempt to resolve the dispute before commencing legal proceedings, except where immediate relief is reasonably necessary to protect intellectual property, confidential information, security, legal rights, or to prevent imminent harm.
30. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
31. Exclusive Florida Forum
To the maximum extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the appropriate state or federal court located in Pinellas County, Florida, and you and MEPTrax consent to the personal jurisdiction and venue of those courts.
This section does not prevent either party from seeking relief in another jurisdiction where necessary to enforce a judgment or where applicable law does not permit the forum requirement to be enforced.
32. Changes to These Terms
MEPTrax may update these Terms from time to time.
If we make material changes, we will provide reasonable notice through the Services, by email, on our website, or through another appropriate method.
Updated Terms will identify their effective date.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If applicable law requires affirmative consent to a particular change, MEPTrax will obtain that consent where required.
33. Electronic Communications
You agree that MEPTrax may provide agreements, notices, disclosures, receipts, and other communications electronically.
Transactional, security, account, and service-related communications may be necessary to operate your account and may not always be optional.
Marketing communications will be handled in accordance with applicable law and our Privacy Policy.
34. Assignment
You may not assign or transfer these Terms without MEPTrax’s prior written consent.
MEPTrax may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, formation or restructuring of the entity operating MEPTrax, sale of assets, or similar transaction.
This provision is specifically intended to permit the Services and these Terms to be transferred to a successor entity operating the MEPTrax business.
35. Severability
If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
36. No Waiver
Failure by MEPTrax to enforce a provision of these Terms does not waive the right to enforce that provision later.
37. Entire Agreement
These Terms and the Privacy Policy constitute the agreement between you and MEPTrax concerning the Services unless you and MEPTrax have entered into a separate written agreement governing particular Services.
If a separately executed written agreement between you and MEPTrax expressly conflicts with these Terms, the separately executed agreement controls to the extent of that conflict.
38. Survival
Any provisions of these Terms that by their nature should survive termination or expiration will survive, including provisions concerning ownership, Customer Content and permitted use of de-identified or derived information, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, venue, and any accrued rights or obligations.
